PURPOSE Motorcycle rider Memorial of Illinois is an organization to erect a memorial for people who have died on a motorcycle or who have ridden and have died through other means. So they are not forgotten by friends and loved ones.
ARTICLE 1-PRINCIPAL OFFICE AND REGISTERED AGENT Section 1. Principal Office The principle office of the organization is P.O.Box 1285; Benton, IL 62812 Section 2. Registered Agent The address of the Registered Agent will be P.O.Box 1285; Benton, IL. 62812 Section 3. Auxiliary Office The organization may establish auxiliary offices within the state of Illinois as the President may determine from time to time. ARTICLE 2-MEMBERSHIP OF THE ORGANIZATION Section 1. Class of member All members of the organization shall be of two (2) classifications that of individual members who vote at organization meeting and those who vote at officers meetings. Only the Officers vote at officers meeting. Section 2. Election of members Any person who meets the membership requirements as set forth by the membership may become a member of Motorcycle Riders Memorial of Illinois, by submitting a written application on a form approved by the membership, to the registered agent of the organization. Applicants submitting written application shall become members of the organization upon payment of the onetime (lifetime) membership dues. Membership dues are to be established by the membership of the organization. Section 3. Transfer of Membership Membership in the organization is nontransferable or assignable to another organization or person. ARTICLE 3-OFFICERS Section 1. General Powers The business and affairs of the corporation shall be conducted by the officers. Section 2. Voting An officer may call for a vote of the Officers by a roll call or ballot. In the case of a tie the President man cast the tie-breaking vote. In the absence of the President, the Chair of the meeting may cast the tie-breaking vote. Section 3. Special Meeting Special meeting of the officers may be called by or at the request of the President, or any two (2) other Officers and shall be held at any place as the officers may determine. Section 4. Notice Notice of any meetings of the officers shall be given at least seven (7) days prior to the meeting by the President, Vice President, or Secretary. Officers are required to be given notice of such meetings. Section 5. Attendance All officers must attend the meetings of the officers meeting. If attendance is not possible, that officer must contact the President or another officer to let them know why or call by phone. Officers must attend at least four (4) of six (6) meetings per calendar year. Section 6. Quorum A majority of the Officers shall constitute a quorum for the transaction of business at any meeting. Section 7. Personal Liability of the Officers Members that are Officers shall not be liable for acts of the organization. Liability of the organization shall be limited to the extent of the assets of the organization. ARTICLE 4-OFFICERS OF THE ORGANIZATION Section 1. Trustees There shall be three (3) Trustees to oversee the management of the organization. Section 2. Committees The President may appoint committees to deal with any issue the Officers deems necessary. The President and/or Vice President will serve in an advisory position on all committees. Section 3. General Power The daily affairs of the organization shall be conducted by the Officers of the organization. No Officer shall spend more than one hundred dollars ($100) on a single item without the consent of at least three (3) other Officers. Nothing in this section shall prevent any Officers from making expenditures in accordance with a budget approved by the officers. Section 4. Officers Officers of this organization shall consist of a President, Vice President, Secretary/Treasurer, Sgt. At Arms, Activities Coordinator. Such Officers shall have the authority to perform the duties prescribed in these by-laws. Officers shall hold only one position at any time. Regional representatives shall be appointed by the President for a term specified by the President. Section 5. Election or Appointment of Officers The officers of the organization shall be nominated in the month of October every odd year by the membership. Officers shall be voted on at the December meeting. Anybody being nominated for office must be a member in good standing and must be present. A. New Officers may be created by a majority vote of those present at any meeting of the officers, pursuant to amendment of the by-laws, provided there is a quorum. B. Vacancies. An Officer of the organization may resign after their written resignation has been approved by the Officers. Officers may fill a vacancy in an office due to resignation, death, or otherwise, and the successor to the office will serve for the remainder of the predecessor’s term. C. Each Officer shall hold office for two (2) years or until the next scheduled election, which ever comes first, except Founding Father. Terms of each office shall begin January 1st of even year and end December 31st of odd year. D. Nominations. Persons seeking election shall have their name placed in nomination and seconded by a member at the October meeting. 1. Nominations shall be open at the beginning of the regular scheduled membership meeting in October. You must be present to accept nomination. 2. Nominations shall be closed at the end of the regular scheduled membership meeting in October. 3. Elections will be held at the next membership meeting in December. E. Removal of Officers. Any Officer may be removed by a two/thirds (2/3)vote of officers whenever in its judgment the interests of the organization would be served thereby. Removal of such officers will be the result of nonperformance of specified duties or actions deemed by the officers to be contrary to the optimum operation of the organization. Such removal shall be without prejudice to the contract rights of any of the officers so removed. F. Notice of removal. Any Officer of the organization facing removal from their position shall be entitled to a hearing before the Officers. The Officer and all members shall be notified, not less than seven (7) days prior, of the time, date and location of the officers meeting where such a hearing will take place by the Secretary. Section 6. President Duties The President shall preside over meetings and shall coordinate business and affairs as determined by the Officers. See Article 9. Section 7. Vice President Duties The Vice President shall preside over meeting in the absence of the President and shall also coordinate the organization business and affairs determined by the Officers. Section 8. Secretary/Treasure Duties The Secretary/Treasure shall keep minutes at meetings, furnish not more than three (3) copies of said minutes to all officers by mail, and take roll call of all Officers present. The Secretary/Treasure shall perform any other secretarial duties as directed by the President. Treasurer/Secretary shall maintain and keep all financial records for the organization, and be responsible for all moneys collected by the organization. The Treasurer shall be responsible for maintaining a voucher system to be used to authorize all expenditures of the organization. The Treasurer shall act as the liaison to any certified public accountant hired by the organization and insure the timely filing of state and federal income tax forms. The Treasurer shall present draft of the proposed budget for the following fiscal year, two Officers meetings prior to the date it will be ratified. The Treasurer shall also perform any financial duties as directed by the Officers. Section 9. Sgt At Arms The Sgt. At Arms shall call meeting to order and maintain discipline at Officers meeting, membership meeting and any or all functions or events. Section 10. Activities Coordinator Duties The Activities Coordinator shall coordinate all activities and work in conjunction with personnel involved and other activities as directed by the Officers. Section 11. Regional Reps The Regional Reps will be appointed by the President to perform and duties as directed by the Officers. There will be four (4) reps established, North (Decatur), South (Joppa), West (Sparta), East (Benton). ARTICLE 5-CONTRACTS AND/OR PROJECTS Section 1. Contractors All contractors shall be brought to the Officers for a vote to approval. Section 2. Contracts All contracts shall be negotiated by the Officers for approval. No member may commit or authorize a contract on behalf of the organization without approval of a majority of Officers. Designer must approve any and all changes to Memorial before completion. ARTICLE 6-OFFICERS MEETING Section 1. Open Meetings All Officers meeting shall be open meeting and all members are welcome. The Officers may go into closed session in the following instances only: A. To discuss litigation when action against or on behalf of the organization has been filed and is pending in court or administrative tribunal or when the Officers finds that such an action is probable or imminent. B. To consider information regarding appointment, employment, or dismissal of an employee of the organization. C. In the event of any individual being brought before the board for charges, potentially leading to disciplinary action, the individual may request and receive an executive session. D. In the executive session only the above subjects may be discussed. No meeting of the organization may be adjourned in executive session. ARTICLE 7-MEMORIAL Section 1. Memorial stone, land and any other provisions for monument, size, shape, foundation etc., to be brought up to membership after Officers have reviewed proposal. A. Any name to be placed on stone/wall must be sponsored by someone and then given to a member. B. Member brings name in front of review committee to be appointed by the President for qualification, then sent on to Officers. C. After approval of sponsored name, member or nonmember are responsible for cost of placing name on stone. D. All current members qualify for name on stone/wall. E. All other motorcycle riders have to be reviewed by committee. Section 2. Motorcycle Riders Memorial monument and stone/wall will be provided by this organization along with any additional stones and maintenance of areas. ARTICLE 8-MEETINGS, YEARLY/OTHER EVENTS Section 1. Meetings will be held every other month the 2nd Saturday starting with February, April, June, August, October, and December. Officers meetings will start one hour (11am) prior to Membership meeting at 12pm (noon) at an assigned place to be announced. Section 2. Yearly events are to be the Moe Run in May and the Memorial event in June and any other activities deemed by the membership. ARTICLE 9-Founding Father Section 1. Founding Father has deciding vote on all decisions pertaining to outcome and maintaining its original purpose. Section 2. Founding Father has the right to remain as the President of Motorcycle Riders Memorial until death or a decision to step down or which ever comes first. The decision to step down will be in writing to the membership two (2) meetings prior to being excepted. |
